1. Introduction and Consent
   1.1. Purpose: These Terms are intended to govern use of the Site and participation in the Studio’s and the Producer’s activities. They set out, among other things, eligibility and baseline conditions, safety and conduct requirements, permissions and limitations, licensing and intellectual-property provisions, scope of liability and indemnification, privacy and accessibility provisions, and other legal commitments.
   1.2. Acceptance and Scope: Access to the Site, including any mobile/adaptive version and any related domain (the “Site”), as well as registration for or participation in any screening/experience produced by Roy Kimhi (the “Producer”) and/or the Studio (the “Studio”; the Producer and the Studio together, “we”/“us”), constitutes your (the “User”) full and unconditional acceptance of these Terms and the accompanying documents—the Privacy Policy, the Accessibility Statement, and the health/safety guidelines (including the Meta materials listed in the appendices)—which form an integral part of these Terms.
   1.3. Binding agreement: These Terms constitute a binding agreement between you and us. By browsing the Site, using its content, or taking part in activities, you confirm that you have read, understood, and agree to these Terms without limitation or qualification. If you do not agree, please refrain from using the Site or participating in activities.
   1.4. Important notice: These Terms include limitations of liability and disclaimers (see the “Limited Liability and Indemnity” section) as well as restrictions on use and intellectual property. Nothing herein limits any non-waivable rights under applicable law. If there is any inconsistency between these Terms and a dedicated document on the Site (such as the Privacy Policy or Accessibility Statement) with respect to that document’s subject matter, the dedicated document will prevail for that subject.
   1.5. Electronic assent: Your confirmation of these Terms by electronic means—including ticking “I agree,” submitting a digital form, reserving a place, signing in at a digital on-site kiosk, or participating in practice—shall be deemed binding consent and an electronic signature for all purposes, subject to applicable law.
   1.6. Updates: These Terms may be updated from time to time. The latest online version posted on the Site is the binding version, and your continued use of the services following publication of an update constitutes acceptance of the updated Terms.
   1.7. Age and authority: The Site is intended for general use by persons aged 13 and above. A binding transaction (including event registration, purchase, or acceptance of Terms) must be made by persons aged 18 and above; users aged 13–17 may use the Site and register subject to verified consent of a parent or legal guardian. The Site is not intended for the submission of personal data by children under 13; if such data was provided in error, please contact us to request deletion. If you use the Site on behalf of another person, a company, an institution, or a public body, you represent and warrant that you have full legal authority to accept these Terms on that party’s behalf. This clause concerns general Site use and does not derogate from age thresholds and participation conditions for VR/XR activities set out elsewhere in these Terms.
    

2. Studio Services
   2.1. Public screenings and experiential events in Virtual Reality (VR) and Extended/Mixed Reality (XR).
   2.2. Development and production of original content in documentary film, VR/XR, and impact media.
   2.3. Commercial transactions and admissions include online or on-site ticketing and passes, reservations, digital access rights and licenses, bundled or complementary products and services, promotions and discounts, affiliate or commission-based transactions, and any other paid offerings.
   2.4 Professional lectures and workshops in various fields.
    

3. Conditions of Participation in VR/XR Screenings
   3.1. Participation is subject to the Meta Quest safety guidance and policies (“Meta Policies”), including minimum-age thresholds, health warnings, safe device use, and all conditions referenced in Section 13 (Annexes). For convenience, the Privacy Policy is available at www.oneatmospherestudio.com/privacypolicy and the Accessibility Statement is available at www.oneatmospherestudio.com/accessibility.
   3.2. These Terms complement the dedicated policies on the Site (Privacy Policy and Accessibility). In case of inconsistency, the dedicated policy governing its subject matter shall prevail.
   3.3. Age thresholds:
        3.3.1. Age 18 and older — participation is permitted without additional approval and subject to acceptance of these Terms of Use and Participation.
        3.3.2. Ages 13 to 17 — participation requires a signed parental/legal guardian consent form prior to the event.
        3.3.3. Ages 10 to 12 — both (1) a signed parental/legal guardian consent and (2) the parent/guardian’s physical presence and continuous supervision throughout the experience are required.
        3.3.4. Under age 10 — participation is not permitted.
   3.4. Identity and age verification: the Studio may request an ID document or guardian contact details for verification. False signatures and impersonation are prohibited by law.
   3.5. Parent/guardian responsibility: by signing, the parent/guardian confirms having read these Terms, understood the safety warnings, and released the Studio from liability (as set out in the waiver), and assumes full responsibility for the minor’s safety during participation.
   3.6. Breach of conditions: a minor without valid approval, or a minor aged 10–11 without the required supervision, will not be admitted to the VR space. The Studio may end a session at any time if the conditions are not met.
   3.7. Health and content warnings: the activity may include flashing lights, loud sounds, fast visual motion, and emotionally intense content. The participant confirms they have assessed their own medical suitability and are aware of possible risks (including dizziness, nausea, photosensitive epilepsy, anxiety). The participant declares they have reviewed Meta’s Health & Safety Warnings listed in the Annexes (Section 13) and will act accordingly. Nothing herein constitutes medical advice; in case of doubt, consult a physician before participating. In case of discomfort, the participant must immediately remove the headset, notify staff, and cease participation.
   3.8. Compliance with Meta guidance and safety procedures:
        3.8.1. Please review the Meta Quest 3/3S/2 Health & Safety Warnings — see the link in the Annexes (Section 13).
        3.8.2. Users must follow, at all times, the instructions of Studio staff and/or its representatives authorized in writing regarding the activity area, safety, device usage, rest breaks, and any other on-site guidance. Any instruction that contradicts the Studio’s instructions, Meta guidance, or applicable law is void, and the Studio and Producer shall bear no responsibility for it.
        3.8.3. Participation under the influence of alcohol or drugs is prohibited. The Studio and Producer may, at their discretion, refuse or stop participation of anyone whose condition/behavior may endanger themselves, others, or the equipment, without refund or compensation beyond refund of any amount actually paid, if paid.
        3.8.4. The participant is responsible for any damage caused to equipment or property on site due to willful misconduct or gross negligence on their part and may be required to bear reasonable repair/replacement costs, subject to law.
        3.8.5. In case of discomfort (dizziness, nausea, eye strain, etc.), the headset must be removed immediately, staff must be notified, and participation must cease.
    

4. Waiver
   4.1. By participating, the User confirms that they understand the inherent risks of using VR, voluntarily accepts those risks, and releases the Studio, the Producer, their employees, and representatives from any liability for bodily, mental, or property damage arising from their participation—except in cases of gross negligence and/or breach of statutory duty by the Studio or its staff when they are the actual on-site operator of the event. If a screening is operated by a third party licensed by the Studio, the participant waives any claim against the Studio and/or the Producer for acts or omissions of that licensed operator; all responsibility shall rest with that third party in accordance with its terms. Nothing herein derogates from non-disclaimable liabilities under applicable law.
   4.2. Where a screening is operated by a third party holding an exhibition license from the Studio, the participant waives any claim, demand, or cause of action of any kind against the Studio and/or the Producer due to acts or omissions of that licensed operator; full responsibility lies with that third party and shall be governed by its participation agreement with the participant.
    

5. Recording and Photography
   5.1. In activities actually operated by the Studio and the Producer, the Studio may photograph and/or video record the venue, equipment, ambiance, and participants, subject to the Israeli Privacy Protection Law, 1981.
   5.2. By agreeing to these Terms, you grant the Studio and the Producer a royalty-free, irrevocable license to publish images in which you appear, in any existing or future media, for documentation, marketing, and public-relations purposes, provided the use remains connected to the experience, is not defamatory, and is not degrading. Upon your written request, we will cease future identifiable uses of your image to the extent reasonably possible; publications made prior to the request may remain in place.
   5.3. A participant who does not wish to appear in identifiable form is requested to notify the Studio in writing in advance (via the registration form or the email listed on the Site) no later than upon entry to the VR space. After receiving such notice, the Studio and the Producer will take reasonable steps to avoid identification (including face-blurring or avoiding focus).
   5.4. Photos or videos in which faces are not reasonably identifiable — including where faces are covered by a VR headset — may be used by the Studio and the Producer without further consent.
   5.5. At screenings operated by a licensed third party, responsibility for obtaining consents from individuals depicted rests solely with that operator; the Studio and the Producer are released from any claim arising from such recording or media use by the operator, and the operator shall display a clear photo notice and act in accordance with applicable law.
    

6. Use of Third-Party Software and Equipment (for official references, see Annexes in Section 13)
   6.1 The content is developed and operated using game engines, including without limitation the Unity engine; distribution and execution may rely on the Unity Runtime. All such use is subject to the Unity terms and applicable licenses, as well as the licensing terms of any additional engine used, as detailed in the appendices (see Section 13). Nothing herein grants the participant any intellectual property rights in the software or the content.
   6.2. The application runs on HMDs (head-mounted display) such as the Meta Quest 3/3S/2 devices. Meta and/or third-party providers may process technical usage data (e.g., crash/device data) in accordance with their policies (see Annexes). The Studio and the Producer do not receive personally identifiable information from the device and do not identify users using such data.
   6.3. You may not reverse engineer, disassemble, modify, circumvent digital rights management (DRM) mechanisms, or otherwise attempt to access the application’s source code or resource files; any such action will constitute copyright infringement and entitle the Studio and the Producer to all remedies available at law and in equity, including damages and injunctive relief.
   6.4. The participant undertakes not to copy, distribute, rent, lease, or make the application or its components available to the public, including APK files, 3D models, code, or audio assets.
   6.5. The Studio and the Producer shall not be liable for policy changes, software updates, or data collection conducted by Unity or Meta, provided the Studio acted in accordance with the official guidance at the time of operation.
    

7. Event Registration and Institutional Engagements
   7.1. Public activities: participation in activities operated by the Studio and the Producer may, from time to time, be offered free of charge or at a subsidized rate, and can be subject to advance online registration. The Studio and the Producer may, at their sole discretion, refuse, change, or cancel any activity. Reasonable efforts will be made to notify registrants; however, such cancellation shall not entitle participants to monetary or other compensation beyond a full refund of any amount actually paid, if paid.
   7.2 The Studio and the Producer may, at their sole discretion, postpone, modify, or cancel an activity. Reasonable efforts will be made to notify registrants; however, any such cancellation will not entitle participants to monetary or other compensation beyond a full refund of any amount actually paid, if any.
   7.3. Force majeure and external circumstances: cancellation or change due to force majeure, material technical failure, or external circumstances beyond the Studio’s control shall not entitle participants to compensation beyond a full refund of any amount actually paid, if paid; reasonable efforts will be made to notify registrants as early as possible.
   7.4. Engagements with museums, cultural institutions, festivals, or other professional entities shall be governed by a written agreement, which shall prevail over the Website Terms in any case of conflict. In transactions with a party that qualifies as a consumer under applicable law, consumer protection provisions shall apply to the extent they apply. In business-to-business transactions, such provisions do not apply unless expressly provided in the agreement or required by law.
    

8. Intellectual Property and Use Restrictions
   8.1. All rights in and to the Studio’s and/or the Producer’s original content, code, design, and trademarks are owned by the Studio, the Producer, or licensors and are protected under the Copyright Law, 2007 and the Trademarks Ordinance.
   8.2. The participant receives a personal, non-exclusive, limited license to view the content during the activity only — and receives no further proprietary rights.
   8.3. It is prohibited to copy, record, transmit, publish, adapt, or translate the content; to decompile, disassemble, or reverse engineer; to bypass or attempt to bypass DRM mechanisms; or to perform any similar act. You may not assist or enable others to do so, unless expressly authorized in advance in writing by the Studio or the Producer.
   8.4. Any infringement entitles the Studio and the Producer to the remedies available at law, including injunctive relief and statutory damages without proof of harm under Israel's Copyright Law, 2007.
    

9. Privacy Policy
   The collection and processing of personal data shall be conducted in accordance with the Privacy Policy available at www.oneatmospherestudio.com/privacypolicy, which forms an integral part of these Terms.
    

10. Accessibility
    10.1. We strive, where possible, to enable equal access to the Site and our activities. The Site and materials are undergoing a phased accessibility process in accordance with the Equal Rights for Persons with Disabilities Law, 1998, and the Accessibility to Services Regulations, 2013. The Accessibility Statement and up-to-date information are available at: www.oneatmospherestudio.com/accessibility.
    10.2. For individual accommodation requests or to report an accessibility difficulty, please contact the accessibility focal point at: roy@oneatmosphereproductions.com. Upon request, we will provide an accessible copy of content or documents within a reasonable time.
    10.3. We will consider in good faith each request for accommodation. If a requested accommodation constitutes a “disproportionate burden” as defined under the Equal Rights for Persons with Disabilities Law and the Accessibility to Services Regulations (including the Internet Services section), we will notify you in writing and, where feasible, offer an appropriate alternative accommodation.
    10.4. For activities hosted at third-party venues (museum/institution/hall, etc.), structural accessibility (e.g., accessible entrance, accessible restrooms) is the responsibility of the local operator. The Studio and the Producer will cooperate to promote a reasonable solution but do not control the host venue’s facilities.
     

11. Limited Liability and Indemnity
    11.1. Limited liability. The services and content are provided “as is” and “as available”, without representations, warranties, or undertakings of any kind, express or implied. Subject to law, the Studio and the Producer shall not be liable for any indirect, consequential, punitive, or special damages, loss of profits, loss of data, or reputational harm. Nothing herein derogates from liabilities that cannot be disclaimed under applicable law.
    11.2. The User shall indemnify the Studio and the Producer for any damage/expense arising from the User’s breach of these Terms or negligence; this provision shall not apply where the damage was caused by gross negligence or fraud of the Studio or the Producer.
     

12. Governing Law and Jurisdiction
    These Terms shall be governed by the laws of the State of Israel. Any dispute arising from these Terms or the use of the services shall be subject to the exclusive jurisdiction of the competent courts in Israel. If any provision of these Terms is found to be invalid or unenforceable, it will be deemed void only to the minimum extent required, and the remaining provisions will continue in full force and effect.

    The Studio and the Producer may update this document from time to time. An updated version will be posted on the Site and will take effect upon publication; your continued use of the services constitutes acceptance of the updated Terms.
